(https://smartrxsystage.wpengine.com) of Clermont and Winter Springs, Florida, a robotic pharmaceutical fulfillment services and management company (“SRXS”), IS CONDUCTING A CROWDFUNDING OFFERING UNDER REG CF OF §4 (a) (6) of the Securities Act of 1933, as amended, through its designated Intermediary Portal, Jumpstart Micro https://jumpstartmicro.com, of up to $1,000,000, with a Minimum of $220,000, for both its Series CF Secured Cumulative Redeemable Convertible Non-Voting Preferred and Class CF Preemptive and Super-Voting Rights, Convertible Common Shares, at $10 per Unit with a 100 Unit minimum purchase of $1,000, for 100 Preferred Shares of Stated Value redeemable at $14 per Share, and 35 Class CF common Shares. All Crowdfunding offerings must be completed within one year of filing with the SEC.
The Class CF Shareholders of our Federal Crowdfunding Offering (“FCFO”) are entitled to elect a member to our Board of Directors, and their shares are convertible at the time of a future Listing, if any, on a National Stock Exchange, such as the NYSE MKT, NASDAQ CAPITAL MARKETS, or the CHX, at 7 Listed shares per Class CF Share, and have Super-Voting rights of 7 votes per Class CF share until conversion. The Series CF Preferred are redeemable prior to any other issued security at the earliest occasion of our planned REG A offering expected to follow this FCFO, if this FCFO is at least partially funded, or any other occurrence which could produce partial or full redemption proceeds of the Stated Value of $1.4mm.
SRXS enables ROBOTIC FULFILLMENT of medications prescribed for on-demand on-site fulfillment of both prescription and OTC pharmaceuticals, as prescribed by each physician, through our Smart PharmAssist ™ Systems (“Kiosks”), automated robotic delivery. SRXS Kiosks currently are installed in the medical buildings or offices of multi-physician practices, have the capability of holding more medications in their bins, and in amounts of pills per bin, that are greater than group practices would likely prescribe between refilling services. Our Kiosk manufacturer is a Partner with us in leasing these state-of-the-industry robotic systems directly to the point-of-care medical office buildings, physicians’ practices or stores, which allowed our Founders’ $5.5mm cash invested to date to be utilized in perfecting our services of dispensing point-of-care medications and serving patients.
